TERMS & CONDITIONS (FMB PLATFORM SERVICES)

This Platform Services Agreement (“Agreement”) is entered into between Bizznest Technologies LLP, operating the platform Find My Business (FMB) (hereinafter referred to as “Find My Business”, “FMB”, “We”, “Us”, “Our”) and the business owner/client using the Platform (hereinafter referred to as “Vendor”, “You”, “Your”, “Client”).

By accessing or using the FMB Platform, mobile app, website, or related services (“Services”), the Vendor agrees to comply with these Terms. If you do not accept these Terms, you may not use the Platform or any related Services.

1. USAGE POLICY

You agree to use the FMB Platform and Services in compliance with all applicable local, state, and national laws and regulations.

FMB reserves the right to restrict, suspend, or terminate access to any Vendor account if:

• The Vendor violates any clause of this Agreement
• The Vendor provides false, misleading, or harmful information
• The Vendor misuses the Platform for fraud, unethical activity, or prohibited purposes

2. DESCRIPTION OF SERVICES

This Agreement applies to all current and future versions of the FMB Platform.

Find My Business (FMB) is a business search engine that allows Vendors to:

• Create and manage their business listing
• Display their products, services, contact details, and store information
• Receive enquiries from Users
• Improve visibility through verification and optional promotional tools
• Manage basic business information through dashboard features

FMB is accessible via the website and mobile app.

Vendors may choose additional paid features (such as verification), while basic listing is completely free.

3. TERMS OF USE

1. This Agreement grants you the right to use the Platform and Services as per the features you select.
2. Free listings allow Vendors to publish and update their business details without charge.
3. Paid services (such as Verification) must be used strictly as per the features purchased.
4. Vendors must not misuse, copy, clone, resell, redistribute, or provide unauthorized access to any part of the FMB Platform, including content, modules, or tools.
5. Vendors must not attempt to reverse engineer, modify, disrupt, or interfere with the functioning of the Platform.

4. RIGHT TO USE

Upon acceptance of this Agreement, FMB grants the Vendor a non-exclusive, limited, revocable right to use the Platform and Services.

All intellectual property, branding, software, design, and proprietary technology remain the sole property of Find My Business / Bizznest Technologies LLP.

5. VENDOR’S RESPONSIBILITIES

To use the FMB Platform effectively, Vendors must:

• Provide accurate, updated, and truthful business information
• Ensure they have the necessary skills or personnel to manage their listing
• Maintain valid and reachable contact information
• Not impersonate any other business or individual
• Comply with all relevant legal requirements for their own business operations

FMB is not responsible for a Vendor’s inability to use the Platform due to lack of required skills, technical understanding, or device incompatibility.

6. USE OF FMB PLATFORM & FEATURES

1. FMB does not restrict the number of devices on which Vendors may access their account, provided it is used legitimately and securely.
2. Vendors may not create fake accounts, duplicate listings, or listings for businesses they do not own or represent.
3. FMB may release updated features or improvements. Some advanced or premium tools may be chargeable and available only under paid plans.
4. FMB does not guarantee uptime, uninterrupted access, or error-free operation, though reasonable efforts will be made to provide stable service.

7. VERIFICATION SERVICE (PAID)

1. FMB offers optional paid verification services to enhance trust and visibility of the Vendor’s listing.
2. Verification charges are determined by FMB and may vary across cities, categories, or time periods.
3. Verification is optional and does not affect the availability of free listing.
4. Verification does not imply endorsement, certification, or guarantee of business performance by FMB.

8. SERVICE FEES (ONLY FOR PAID SERVICES)

• Listing is 100% free of cost.
• Only Verification and optional promotional tools require fees.
• Fees for paid services must be paid in advance and are non-refundable.
• Upon payment, FMB will issue an invoice to the Vendor’s registered mobile number or email.
• FMB reserves the right to revise service fees or introduce new paid features at its discretion.

9. FEES & PAYMENT TERMS

1. Free Listing: Find My Business (“FMB”) provides free business listing services. You are not required to pay any fee to create, edit, or maintain your business profile.
2. Paid Verification (Optional): FMB may offer paid verification services. Verification fees (if applicable) will be mentioned clearly before purchase.
3. Service Activation: Paid verification services will be activated only after successful receipt of payment by FMB.
4. Payment Methods: Fees must be paid upfront. Installments are not available. Cash payments, if made, are at your sole risk.
5. Non-Payment: Failure to pay the verification fee (if chosen) will result in non-activation or removal of the verification badge. Free listing remains unaffected.

10. DOCUMENTS REQUIRED

To maintain accuracy and trust on the platform, Users may be required to submit:

For Basic Free Listing (Any one valid business proof):

• GST Certificate
• Trade License / Shop Establishment Certificate
• Udyam Registration
• Any other valid business-related government-issued proof

For Verification:

• Business PAN Card
• Owner/Authorized Person ID (Aadhaar / PAN / Voter ID / DL / Passport)
• Business registration proof as applicable

FMB reserves the right to request additional documents if needed for verification.

11. INVOICE (For Paid Verification Only)

If you opt for paid verification services, FMB will issue an invoice containing:

1. User details
2. Verification Fee
3. Description of the verification service

No invoices are issued for free listings.

12. TAXES

Any applicable taxes on paid verification services (if opted) will be charged as per Indian tax laws. Taxes are in addition to the verification fee.

13. HOSTING & PLATFORM SERVICES

1. Listing Platform Access: FMB hosts business profiles and ensures reasonable availability but is not responsible for unintentional data loss or downtime.
2. User Content Responsibility: You are solely responsible for uploading and maintaining listing information and content.
3. Domain/Website Hosting Not Included: FMB does not provide website or domain hosting under free listing.
4. Platform Usage Period: Free listing remains active as long as it complies with these Terms.

14. CUSTOMER SUPPORT

1. FMB will make reasonable efforts to provide customer support during standard business hours, Monday to Saturday (excluding public holidays), via:

2. FMB does not provide support for third-party software or tools.
3. FMB is not obligated to support services misused or affected by external factors.

15. REFUND POLICY

All payments made for verification services are non-refundable.

Since business listing is free, no refunds apply to listing services.

16. NON-PERFORMANCE & DELAYS

FMB is not liable for delays or interruptions caused by factors beyond its control, including:

• Natural disasters
• Internet outages
• Cyber-attacks
• Technical failures
• Strikes or labour issues
• Third-party service failures

17. THIRD-PARTY SERVICES

FMB is not responsible for any expenses incurred by hiring third-party consultants, agencies, or technical personnel.

18. NON-TRANSFERABILITY

Your access to Find My Business services is non-transferable. You may not assign or transfer this Agreement or your account without prior written approval from FMB.

19. CHANGE IN VERIFICATION FEES

FMB reserves the right to revise its optional verification fees at any time.

Any revised pricing will apply only to:

• New verification purchases
• Renewal of verification (if applicable)

Free listing will always remain free of cost.

20. USER RESPONSIBILITIES

By using Find My Business, you agree to the following:

1. Accuracy of Information: You are solely responsible for the accuracy, quality, and legality of the information you upload, edit, or modify on your business profile.
2. Liability for Use: You are solely responsible for any disputes, issues, or claims arising from your business operations or information shared on FMB.
3. Compliance: You must follow all FMB rules, guidelines, policies, and updated Terms & Conditions. FMB may modify these at any time.
4. Document Submission: You agree to provide valid business documents (GST, Trade License, Udyam, PAN, Aadhaar, etc.) when required for verification.
5. Termination for Breach: FMB may terminate your access if you breach these Terms.
6. Transparency & Audit: You agree to maintain appropriate records and comply with any legal or regulatory requirements, including submitting information to authorities if required.
7. User Website / External Platforms: If you maintain your own website or online store, you are responsible for publishing your own Terms & Conditions for your customers.
8. Security Measures: You must protect customer information, login details, and sensitive data from unauthorized access.
9. Customer Service: You shall provide customer support for your own customers/end-users. FMB is not responsible for customer interactions related to your business.
10. Cooperation for Tech Integration: You agree to cooperate with FMB for any necessary technical integrations or updates.
11. Data Security: You must ensure there is no unauthorized access or security breach involving your data or customer data.
12. Content Responsibility: You are solely liable for any content you upload. FMB is not responsible for copyright or legal violations arising from your content.
13. Taxes: You are solely responsible for correctly applying GST/VAT/tax rates on your products or services. FMB does not update or verify tax rates for you.
14. Content Monitoring: FMB may remove any content deemed harmful, offensive, illegal, or in violation of this Agreement.
15. Legal Use Only: You must use FMB for lawful purposes only. If FMB identifies illegal activity, it may immediately terminate your access.
16. No System Tampering: Any attempt to harm, hack, or misuse FMB’s systems is strictly prohibited and may lead to immediate termination and legal action.
17. Single Account per Business: Each business is allowed one listing under one account. Additional outlets, if supported in future, may require additional verification fees.

You acknowledge that you are not acquiring ownership of FMB services, only the right to use them in accordance with these Terms.

21. SERVICE WARRANTY DISCLAIMER

1. All listings, features, and services offered by Find My Business, operated by Bizznest Technologies LLP, are provided on an “as available” and “as is” basis. Your use of our platform is entirely at your own discretion and risk. While we aim to maintain smooth access, technical interruptions, maintenance, or unforeseen downtime may occur.
   
   Find My Business does not guarantee uninterrupted service, error-free performance, immunity from viruses/malicious code, or absolute security from unauthorized access. We do not make any promises—express or implied—regarding reliability, accuracy, availability, merchantability, fitness for a particular purpose, or any outcome arising from use of the platform.
   
   You understand that Find My Business shall not be liable for any direct or indirect loss, including (but not limited to) business disruption, loss of data, service interruptions, technical failures, or corruption of information.
   
   No communication, advice, or information obtained from Find My Business shall constitute any warranty unless expressly stated in writing.
2. If any interruption or service issue occurs, your only remedy shall be our reasonable efforts to restore normal operations as soon as possible.

22. LIMITED WARRANTY FOR PAID VERIFICATION SERVICES

1. Except for the limited assurance related specifically to paid business verification services, all functionalities, tools, and software modules provided through Find My Business are offered without any additional warranty. You accept full responsibility for evaluating the performance, usefulness, and correctness of the services.
   
   Neither Find My Business, nor its creators, partners, associates, or representatives guarantee specific business results, accuracy, or legal compliance of any tools or modules.
2. If any liability arises under the limited scope of paid verification services, it shall not exceed the amount paid by you for that specific verification. Under no circumstances shall Find My Business or its associates be liable for loss of profit, special, incidental, consequential, or indirect damages of any kind.

23. INDEMNIFICATION

You agree to safeguard and indemnify Find My Business (including its founders, team members, employees, and partners) against any losses, claims, liabilities, penalties, legal expenses, or damages that arise from:

1. Your breach, non-compliance, or failure to follow any clause of these Terms;
2. Your actions, omissions, negligence, or misconduct while using our platform or services;
3. Any claims arising from your business operations, products, services, or use of tools provided by Find My Business.

24. SUSPENSION & TERMINATION OF ACCESS

1. Your free business listing will remain active unless:
   • You request removal,
   • You violate these Terms, or
   • We modify or discontinue specific features as part of platform updates.
   Free listing is always free; however, paid verification services will require charges as applicable.
2. Find My Business may suspend or terminate your access if you materially breach these Terms, misuse the platform, provide false information, engage in fraudulent behavior, or negatively impact our brand, users, or system integrity. No refunds apply to any paid verification in such cases.
3. Actions that harm the platform, compromise user trust, or damage Find My Business’s reputation shall be treated as serious violations and may lead to immediate termination without prior notice.
4. Upon termination, Find My Business retains ownership of all proprietary technology, systems, and tools. Access to your dashboard, verification badge, or connected software may be disabled. You must delete or discontinue use of any confidential information received from Find My Business.

25. RESTRICTED USE & PROHIBITED CONDUCT

You agree to use Find My Business (FMB) responsibly and legally. The following activities are strictly prohibited while listing, uploading, publishing, or using any part of the platform:

1. Posting or sharing any information that you do not own or do not have rights to use.
2. Uploading or promoting content that is harmful, abusive, defamatory, obscene, hateful, pornographic, harassing, misleading, or otherwise unlawful.
3. Sharing any material that violates another party's intellectual property rights such as trademarks, copyrights, or patents.
4. Uploading or transmitting viruses, malicious files, harmful code, or anything designed to disrupt or damage digital systems.
5. Publishing content that threatens national security, public order, India’s sovereignty, foreign relations, or encourages criminal activity.
6. Promoting illegal goods, unlawful business activities, or restricted services on the platform.
7. Engaging in any action that may harm Find My Business’s servers, digital infrastructure, or the experience of other users.
8. Sending spam, bulk messages, unsolicited promotions, or using Find My Business listings to reference spam activity.
9. Misusing customer data, especially in violation of DND/Do-Not-Disturb rules or telecom laws. Any promotional SMS/Email sent by you is your sole responsibility.
10. Violating the Information Technology Act, 2000 and its related rules, including rules related to data protection, cyber security, and sensitive personal information.
11. Attempting to bypass, alter, tamper with, or destroy any system, code, or security mechanism used by Find My Business.
12. Using fake or unauthorized electronic signatures, passwords, OTPs, or login credentials belonging to someone else.
13. Accessing, extracting, copying, or downloading any information from our systems without authorization.
14. Introducing malware, damaging code, or any contaminant that harms or interferes with the FMB platform.
15. Disrupting or attempting to disrupt our services, servers, or networks in any form.
16. Destroying or manipulating any information stored on our systems with the intent to cause damage.
17. Engaging in any fraudulent, abusive, or conspiratorial activities related to the prohibited behaviours listed above.

Find My Business reserves the right—but not the obligation—to remove content or suspend accounts that violate these terms or applicable laws.

26. CONTENT RIGHTS & OWNERSHIP

1. All content that you upload—business details, documents, images, etc.—remains your property. By listing your business on Find My Business, you grant us a non-exclusive, worldwide license to use, display, and process this content solely to operate the platform and improve user experience.
2. Find My Business retains ownership over its platform, design, software, branding, algorithms, and technology. You do not gain any rights to FMB’s proprietary systems by using the service.
3. FMB may use aggregated, anonymized data for analytics, improvements, and service updates.
4. By listing your business, you consent to being contacted by Find My Business for verification, updates, business communication, or promotional information about our services.

27. NON-COMPETE & RESTRICTIONS ON REVERSE ENGINEERING

During your use of Find My Business—and for one (1) year after discontinuing use—you agree:

1. Not to copy, replicate, reverse-engineer, or attempt to recreate any system, method, or feature of Find My Business for developing a competing business search engine or similar digital service.
2. Not to create derivative products, software, or tools based on Find My Business’s processes, structure, or backend technology.
3. Not to assist or enable any third party to engage in activities that violate this clause.

CONFIDENTIALITY

i. Any confidential or sensitive information shared between you and Find My Business must be protected and not disclosed to any third party unless legally required or expressly permitted.

Confidential information includes:

• Internal platform processes and systems
• Business models, plans, and operational details
• Algorithms, platform logic, or tech architecture
• User data (where applicable)
• Any information that is not publicly available

ii. This obligation does not apply to information that is publicly known, independently obtained, or disclosed under lawful government orders. You must notify FMB immediately if any such order is received.

iii. All confidential information must be returned or permanently deleted upon termination of your association with Find My Business.

iv. These confidentiality obligations survive termination of your usage of the platform.

PRIVACY & DATA HANDLING

i. Both you and Find My Business agree to responsibly handle user data, comply with applicable laws, and protect stored information from unauthorized access.

ii. Find My Business may share data with legal authorities if required under valid legal process.

iii. No platform can guarantee absolute security; therefore, you must avoid uploading highly sensitive or unnecessary information beyond what is required for listing or verification.

iv. Find My Business may maintain technical logs, backups, and archives for operational continuity, though we are not obligated to store or preserve data permanently.

v. In cases of suspected abuse or misuse, Find My Business may examine and review relevant data to ensure compliance.

SECURITY RESPONSIBILITIES

i. You are responsible for keeping your account, login details, and uploaded content secure while using the Find My Business platform.

ii. You must ensure that the information you upload is safe, lawful, and virus-free.

iii. You must maintain backups of your own data; Find My Business is not liable for any accidental loss or deletion.

iv. You must not misuse the platform in a manner that affects performance or harms other users.

v. Attempting to hack, manipulate, gain unauthorized access, or disrupt any part of the system will result in immediate suspension or termination of your account.

CONTENT NEUTRALITY

FMB does not monitor, control, or edit any information submitted by Users or Vendors on the platform. All content displayed on the business search engine is provided by the respective Vendors or publicly available sources.

AUDIT & COMPLIANCE

FMB may conduct audits (through its own team or independent auditors under confidentiality obligations) to ensure that your use of the platform, tools, or verification services complies with these Terms.

You agree to provide reasonable access to necessary records or information if required for such audits.

FMB will give reasonable prior notice before conducting an audit.

Audits will take place during normal business hours and not more than once a year unless FMB has a valid reason to conduct additional audits.

FMB will bear the audit expenses unless a material violation of these Terms is found. In such cases, you agree to reimburse FMB for the audit costs along with any applicable damages.

INTELLECTUAL PROPERTY RIGHTS

i. All intellectual property related to the Find My Business platform—including trademarks, brand name, logos, design, layout, interface, code, and overall architecture—belongs solely to FMB. You are not permitted to copy, reproduce, use, or distribute any intellectual property of FMB without written permission.

ii. FMB retains complete ownership and proprietary rights over its platform, including all software, code, data structures, UI/UX design, graphics, tools, and content. Nothing in this Agreement grants you rights to FMB's source code, trade secrets, or internal documentation.

iii. FMB grants Users and Vendors a limited right to use the platform solely for listing their business (free of cost), managing their profile, and using services as permitted under these Terms. Paid services, such as business verification, are optional and subject to separate policies.

MISCELLANEOUS

I. No Guarantee of Business: FMB does not guarantee increased customers, revenue, or business growth by listing on the platform. Listing is completely free of cost and provided “as is.”

II. No Marketing Obligation: FMB is not responsible for promoting your business. The platform only displays the information you submit and provides tools for visibility and discovery. Verification (optional) may improve trust but is not a promotional service.

III. Entire Agreement: These Terms constitute the complete understanding between you and FMB and supersede any previous communication regarding the platform.

IV. Amendments: FMB may modify these Terms at any time. It is your responsibility to review the updated Terms on the FMB website or app.

V. Severability: If any clause in these Terms is found invalid or unenforceable, the remaining clauses will continue to remain valid. Any invalid clause will be replaced with a valid clause that reflects the intent of the original.

VI. Waiver: Failure by FMB to enforce any right or clause does not constitute a waiver of that right.

VII. Survival: Clauses that are intended to survive termination—including IP rights, audit rights, disclaimers, and dispute resolution—will remain in effect even after account closure.

VIII. Force Majeure: FMB is not liable for delays or service interruptions caused by events beyond its control, including natural disasters, network failures, hacking, government restrictions, or technical issues.

IX. Dispute Resolution & Arbitration: If a dispute arises, both parties will attempt to resolve it through mutual discussions within 30 days. If unresolved, the matter will be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration will: be conducted in English, take place in Guwahati, Assam, be decided by a sole arbitrator appointed by Find My Business, be final and binding on both parties. Each party will bear its own arbitration costs.

X. Assignment: You cannot assign or transfer your rights under this Agreement without written permission from FMB.

XI. Notices: All notices or communications shall be in writing and sent via email or registered post to the contact details provided by the parties.

XII. Non-Exclusive Platform: FMB operates on a non-exclusive basis and is free to provide similar services to any vendor, business, or association.

XIII. Governing Law & Jurisdiction: These Terms are governed by the laws of India. Any dispute will fall under the exclusive jurisdiction of the courts located in Guwahati, Assam.
